By accessing or using the Medelicia Supply Core platform at https://medelicia-supply-core.base44.app (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. Your use of the Service constitutes your continued acceptance of these Terms.
Medelicia provides a business management platform for food importing, logistics, and distribution operations. The Service includes customer relationship management, project management, order tracking, supplier management, compliance tracking, brand and product management, and AI-powered business intelligence tools including lead research, lead scoring, market intelligence, digital footprint reporting, and document analysis.
Access to the Service is granted through administrator invitation. You must be at least 16 years old to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Administrators assign roles that determine your level of access to data and features.
You agree to provide accurate and complete information when creating your account or submitting a career application, and to update that information to keep it current.

You are responsible for the accuracy, legality, and appropriateness of the data you submit, and for ensuring you have the necessary rights and consents to store personal data of third parties (such as contacts and leads) within the Service.
Medelicia does not claim ownership of your business data. We process and store your data solely to provide and improve the Service, as described in our Privacy Policy.
The Service includes AI-powered tools that generate insights, reports, scores, and recommendations based on your data and publicly available information. AI-generated content is provided for informational and decision-support purposes only and may contain inaccuracies or incomplete information. You are responsible for verifying AI-generated information before acting on it and for ensuring that your use of such content complies with applicable laws and your organization's policies.
Medelicia is not liable for decisions made solely on the basis of AI-generated content without independent verification.
By submitting a career application through the Service, you consent to our collection and processing of the information you provide for the purpose of screening and considering you for employment opportunities. Submitting an application does not create an employment relationship or guarantee consideration. We may retain your application data for up to 24 months to consider you for future openings, unless you request earlier deletion.
The Service, including its design, features, software, branding, and underlying technology, is the property of Medelicia and its licensors, protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service without our prior written authorization. Your business data remains your property, as set out in Section 5.
We strive to maintain high availability but do not guarantee uninterrupted or error-free access to the Service. We may perform maintenance, updates, or changes that temporarily affect availability. We are not liable for downtime, data loss, or service interruptions caused by factors beyond our reasonable control, including network failures, third-party outages, or force majeure events.
To the maximum extent permitted by law, Medelicia and its affiliates, officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunity, arising from your use of or inability to use the Service. Our total aggregate liability arising from or related to these Terms or the Service shall not exceed the amount you paid for the Service in the preceding twelve months, or, if no amount was paid, one hundred U.S. dollars ($100).
You agree to indemnify and hold harmless Medelicia and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights, including the rights of individuals whose data you enter into the Service.
Administrators may revoke your access at any time. We reserve the right to suspend or terminate accounts that violate these Terms or that pose a risk to the Service or other users. Upon termination, your access to the Service and associated data will be removed in accordance with our data retention policy. Sections that by their nature should survive termination — including intellectual property, limitation of liability, and indemnification — will remain in effect.
We may modify these Terms at any time. If we make material changes, we will notify users through the Service or via email. Continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must discontinue use of the Service.
These Terms are governed by the laws of the jurisdiction in which Medelicia operates, without regard to conflict-of-law principles. Any disputes arising from or relating to these Terms or the Service shall be resolved in the appropriate courts of that jurisdiction, or through binding arbitration if mutually agreed.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Medelicia regarding your use of the Service, and supersede any prior agreements.
